End-User License Agreement (EULA)

IMPORTANT: READ CAREFULLY

This End-User License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity) and Quantera Software ("Licensor") for the use of Scenario Explorer ("Software"). By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this Agreement.

If you do not agree to the terms of this Agreement, do not install or use the Software.

1. GRANT OF LICENSE

1.1 License.
Licensor grants you a limited, non-exclusive, non-transferable, revocable license to install and use one copy of the Software on a single Windows device, solely for personal or internal business use.

1.2 Restrictions.
You may NOT:

• Modify, reverse engineer, decompile, disassemble, or attempt to derive source code from the Software.

• Rent, lease, lend, sell, redistribute, or sublicense the Software.

• Use the Software for any unlawful purpose or to violate any laws in your jurisdiction.

2. OWNERSHIP

The Software is licensed, not sold. Licensor retains all rights, title, and interest in and to the Software, including all intellectual property rights.

3. UPDATES

Licensor may provide updates, patches, or upgrades to the Software at its sole discretion. Any updates provided will be governed by this Agreement unless accompanied by a separate license agreement.

4. TERMINATION

This Agreement is effective until terminated. It will automatically terminate without notice if you fail to comply with any term of this Agreement. Upon termination, you must immediately cease all use of the Software and delete all copies.

5. DISCLAIMER OF WARRANTIES

The Software is provided "AS IS" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

6. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, in no event shall Licensor be liable for any damages, including but not limited to direct, indirect, incidental, special, or consequential damages arising out of the use of or inability to use the Software.

7. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of New York State and federal USA law, without regard to its conflict of law principles.

8. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between you and Licensor concerning the Software and supersedes all prior or contemporaneous communications, whether oral or written.

BY INSTALLING OR USING THE SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS.
